Directors & Officers (D&O) insurance provides financial protection for individuals serving as directors and officers of a corporation when they are sued for alleged wrongful acts in managing the company. D&O policies have three coverage sides: Side A covers directors/officers directly when the company cannot indemnify them (bankruptcy, legal prohibition), Side B reimburses the company for indemnification payments, and Side C covers the entity itself for securities claims. Side A coverage is considered the most critical as it is the last line of defense for personal assets.
